1. Introduction

Welcome to Cargo Connexion ("Cargo Connexion", "we", "our", or "us").

These Terms and Conditions govern your use of our website, products and services. By accessing our website, requesting a quotation, placing an order, or purchasing products or services from Cargo Connexion, you agree to be bound by these Terms and Conditions.

If you do not agree with these Terms, you should not use our website or services.

2. Definitions

For the purposes of these Terms:

Artwork means all artwork, layouts, proofs, branding, graphics, logos, designs or promotional material prepared by Cargo Connexion or supplied by the customer.

Customer means the individual, company or organisation purchasing products or services from Cargo Connexion.

Goods means all products supplied by Cargo Connexion, including but not limited to promotional products, branded merchandise, printed material, corporate gifts, calendars, diaries, maps, brochures, directories, desk accessories and any other products offered from time to time.

Supplier means Cargo Connexion.

3. Quotations

All quotations:

  • are valid for the period stated on the quotation;
  • are subject to stock availability;
  • exclude delivery unless otherwise specified;
  • may be withdrawn or amended before acceptance.

No order will be processed until accepted by Cargo Connexion.

4. Orders

Orders become binding only after:

  • written acceptance by Cargo Connexion; or
  • commencement of production; or
  • receipt of any required deposit or payment.

Cargo Connexion reserves the right to refuse any order at its sole discretion.

5. Artwork Approval

The customer is responsible for ensuring that all artwork, spelling, colours, sizing, logos and content are accurate before providing final approval.

Approval of artwork constitutes authorisation for Cargo Connexion to proceed with production.

Cargo Connexion cannot be held responsible for errors that were present in artwork approved by the customer.

If the customer does not respond to artwork proofs within seven (7) days, the artwork may be deemed accepted unless otherwise agreed.

Changes requested after artwork approval may:

  • delay production;
  • incur additional charges;
  • require new production timelines.

6. Customer-Supplied Material

The customer warrants that all artwork, trademarks, logos, images and content supplied:

  • belong to the customer; or
  • are used with the necessary permission.

The customer indemnifies Cargo Connexion against any claims relating to copyright, trademarks, intellectual property or unlawful content.

7. Production

Every reasonable effort will be made to produce goods that accurately reflect the approved artwork.

Minor variations in:

  • colour;
  • material;
  • print positioning;
  • finishing;
  • dimensions; or
  • manufacturing processes

are considered industry standard and shall not constitute defects.

8. Quantities

Due to manufacturing processes, delivered quantities may vary by up to ten percent (10%) above or below the ordered quantity.

Customers agree to accept and pay for the actual quantity delivered on a pro-rata basis.

9. Delivery

Delivery dates are estimates only.

While every reasonable effort is made to meet agreed delivery dates, Cargo Connexion shall not be liable for delays caused by:

  • suppliers;
  • manufacturers;
  • couriers;
  • customs;
  • strikes;
  • power failures;
  • transport disruptions;
  • force majeure events; or
  • circumstances beyond our reasonable control.

Risk in the goods passes to the customer upon delivery or collection.

The customer must inspect goods immediately upon receipt.

Any shortages, damage or defects must be reported in writing within seven (7) calendar days.

10. Pricing

Prices are quoted in South African Rand (ZAR) unless otherwise agreed.

Prices may change where:

  • supplier pricing changes;
  • exchange rates fluctuate;
  • freight costs increase;
  • material costs increase;
  • taxes or duties change; or
  • customer-requested changes affect production.

Any additional costs will be communicated where reasonably possible before production proceeds.

11. Payment

Unless otherwise agreed in writing:

  • invoices are payable within thirty (30) days from the invoice date;
  • deposits may be required before production commences;
  • late payments may attract interest at the maximum rate permitted by South African law;
  • Cargo Connexion may suspend production or delivery while accounts remain overdue.

The customer remains liable for all reasonable legal and debt recovery costs incurred in collecting overdue accounts.

12. Ownership

Ownership of goods remains with Cargo Connexion until payment has been received in full.

Risk passes to the customer upon delivery.

13. Returns

As many products are custom manufactured or branded specifically for the customer, they cannot be returned unless:

  • they are materially defective;
  • they do not substantially match the approved artwork; or
  • the incorrect goods were supplied.

Returns must be authorised before goods are returned.

14. Cancellation

Orders for customised or branded products may not be cancelled after production has commenced.

Where Cargo Connexion agrees to a cancellation, the customer remains responsible for:

  • work completed;
  • artwork costs;
  • materials purchased;
  • production costs incurred; and
  • any reasonable cancellation charges.

15. Limitation of Liability

To the fullest extent permitted by law, Cargo Connexion shall not be liable for:

  • indirect loss;
  • consequential loss;
  • loss of profits;
  • business interruption;
  • loss of goodwill;
  • third-party claims; or
  • delays beyond our reasonable control.

Cargo Connexion's total liability shall not exceed the value of the goods or services supplied.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

16. Intellectual Property

All artwork, catalogues, photographs, website content, designs, graphics, layouts, logos and other intellectual property created by Cargo Connexion remain the property of Cargo Connexion unless otherwise agreed in writing.

Customers may not reproduce or distribute such material without prior written permission.

17. Website Use

Users agree not to:

  • use the website for unlawful purposes;
  • interfere with website security;
  • attempt unauthorised access;
  • upload malicious software; or
  • misuse any website functionality.

Cargo Connexion reserves the right to restrict or terminate website access where misuse occurs.

18. Privacy

Personal information is collected and processed in accordance with our Privacy Policy and applicable privacy legislation, including the Protection of Personal Information Act (POPIA).

19. Force Majeure

Cargo Connexion shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • fire;
  • flood;
  • pandemic;
  • war;
  • civil unrest;
  • industrial action;
  • transport interruptions;
  • supplier failures;
  • utility outages; or
  • government actions.

20. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa.

Any dispute arising from these Terms shall be subject to the jurisdiction of the South African courts.

21. Changes to These Terms

Cargo Connexion reserves the right to amend these Terms and Conditions at any time.

The latest version will always be published on our website.
